Job Description
-Develops and maintains a thorough understanding of the requirements of:
*All Central Bank (CB) requirements and regulations in terms of Corporate Governance and FATCA requirements
*All BOD approved Corporate Governance policies and procedures
*CMA bylaws related to disclosure and transparency
*Boursa instructions related to disclosure and transparency
-Reviews all bylaws, policies, and procedures in the bank to ensure that they address all CB regulations requirements.
-Facilitates compliance testing within the CB Compliance program by developing a Corporate Governance survey/checklist.
-Coordinates and assists Manager in the facilitation during all External Auditor Inspections towards compliance for Corporate Governance.
-Maintains the register of all supporting documentation related to:
*Disclosure Transparency, issued by both CMA and CB
*Conflict of interests
*Transactions with related parties
*Implementation of all corrective action towards resolving Corporate Governance violations
-Organizes the publishing of the Corporate Governance manual and all relative policies and bylaws on the Bank’s website and coordinates with all concerned Divisions towards the update of said Manual and all disclosures.
